Terms of Service
The contract that governs use of LearnAIMatrix, including role-based access, parent self-service onboarding, academic workflows, AI-assisted features, subscription billing, acceptable use, suspension, liability, and dispute handling.
Acceptance And Scope
These Terms form a binding agreement between you and Ainexia for your use of the website, portal, account services, academic workflows, AI-assisted tooling, support channels, subscriptions, invoices, and related communications.
Electronic records, electronic acceptance flows, and electronically formed contracts are intended to operate in accordance with applicable Indian law, including the Information Technology Act, 2000.
Who May Use The Service
You must provide accurate information, use the platform only for lawful purposes, and keep your account credentials secure.
- Institute-authorized staff such as superadmins, school administrators, and teachers.
- Parents or lawful guardians who self-register or who are invited, approved, or linked through platform workflows.
- Authorized student-facing usage that occurs through secure links, supervised institute flows, or parent-approved access paths.
Accounts, Activation, And Security
- You are responsible for maintaining the confidentiality of your password, device access, and any session or secure-link credentials under your control.
- You must notify us promptly of suspected unauthorized use, credential compromise, fraud, or misuse.
- We may require activation, password-reset, or verification steps before granting or restoring access.
Role-Based Access And Institute Authority
The platform uses role- and scope-based access controls. Institute-managed users may only access the data and workflows permitted by their assigned role and school context.
Institutes are responsible for the users, student records, academic configurations, and operational data they create or administer in their tenant. They must ensure that they have the authority to upload, manage, or disclose that data through the platform.
- Parents may access only the children properly linked to their account.
- Teachers may access only the classes, subjects, students, and communication flows they are authorized to handle.
- No user may attempt to bypass tenant boundaries, role restrictions, secure-link controls, or subscription gating.
Parent Self-Service And Student Linking
Parent self-service signup is available for supported deployments, but self-registration alone does not automatically grant access to a child record. Child access still depends on successful linking, institute approval where required, and the actual authorization rules configured in the platform.
School-admin parent onboarding remains available for institute-managed flows and may reuse the same parent account by email when the parent already exists in the system.
Academic And AI-Assisted Services
The platform supports academic administration, attendance, class delivery, assignments, assessments, practice, recommendations, risk and mastery signals, parent visibility, messaging, support, and billing workflows.
AI-assisted features are provided to support educational operations, not to replace human academic judgment. AI-generated or AI-evaluated outputs may be incomplete, inaccurate, or unsuitable if used without proper review.
- You remain responsible for reviewing AI-assisted outputs before relying on them for grading, instruction, communication, or intervention decisions.
- Ainexia does not warrant academic outcomes, exam results, admissions outcomes, or pedagogical suitability of any generated output.
Acceptable Use Restrictions
- Do not misuse the service for unlawful, fraudulent, abusive, defamatory, or infringing activity.
- Do not attempt unauthorized access, reverse engineering, data scraping beyond permitted use, credential sharing, token sharing, or service disruption.
- Do not upload malware, harmful content, or material you are not authorized to use.
- Do not exploit the platform to target unrelated children, users, or tenants, or to interfere with fair educational processes.
Secure Links, Messaging, And Attachments
Student-facing activities may be delivered through secure and time-bound links. These links are intended only for the authorized learner and supervising adult or institute context.
- Do not share secure activity links with unauthorized persons.
- Attachments and messages must be relevant, lawful, and suitable for the platform context.
- We may remove content or suspend access where attachments, messages, or uploads create legal, safety, security, or abuse concerns.
Subscriptions, Payments, And Invoices
Certain parent-facing or premium features may require an active paid subscription. Subscription access may be evaluated per child even when a parent account is linked to multiple children.
Billing, payment verification, invoice generation, and tax records are handled through the platform and its configured providers.
- Fees, billing cycles, and available plans are as displayed in the product at the time of purchase.
- Payment gateways may impose their own terms, processing rules, and verification steps.
- Refunds, reversals, queued renewals, failed payments, disputed transactions, and invoice corrections are subject to the applicable product flow, provider rules, and mandatory law.
Communications And Electronic Records
You consent to receive service-related communications electronically, including activation links, password reset notices, invoice emails, support responses, operational alerts, and legally required updates.
Records, acknowledgments, and notices maintained in electronic form may be used for operational, audit, billing, and dispute-resolution purposes.
Intellectual Property And License
LearnAIMatrix, the portal, visual design, software, workflows, and related materials are owned by or licensed to AINEXIA INTELLIGENCE (OPC) PRIVATE LIMITED.
We grant you a limited, revocable, non-exclusive, non-transferable right to use the service for its intended educational and operational purpose in accordance with these Terms.
- You may not copy, resell, sublicense, decompile, or create competing derivative services from the platform except as permitted by law or written agreement.
Availability, Updates, And Suspension
We may update, improve, suspend, or discontinue parts of the service from time to time. Planned maintenance, emergency fixes, provider issues, security events, or infrastructure failures may affect availability.
We may suspend or restrict access immediately if we reasonably believe there has been fraud, abuse, breach of these Terms, payment risk, tenant-boundary misuse, or security compromise.
Privacy And Confidentiality
Your use of the service is also governed by the Privacy Policy. Institutes and users must treat platform credentials, student records, assessments, support information, invoices, and other confidential operational data with appropriate care.
You may not disclose personal or confidential information from the service except as permitted by platform role, institute policy, law, or the relevant data subject's authorization.
Disclaimers
- The service is provided on an AS IS and AS AVAILABLE basis.
- We do not guarantee uninterrupted availability, error-free performance, or compatibility with every workflow or device configuration.
- AI-assisted outputs, predictions, recommendations, and evaluations are not legal, medical, psychological, or professional advice and are not guaranteed to be correct.
Limitation Of Liability
To the maximum extent permitted by law, Ainexia will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, goodwill, opportunity, educational outcomes, or data use interruption.
To the extent liability cannot be excluded, Ainexia's aggregate liability arising out of or relating to the service will be limited to the amount paid to Ainexia for the affected paid service during the three months preceding the event giving rise to the claim.
Indemnity
You agree to indemnify and hold harmless Ainexia, its directors, employees, and service providers from claims, losses, liabilities, damages, and expenses arising from your misuse of the service, breach of these Terms, violation of law, or infringement of rights.
Governing Law And Dispute Resolution
These Terms are governed by the laws of India.
Before filing a formal claim, you agree to first raise the matter with Ainexia for good-faith resolution.
If a dispute is not resolved informally, it may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. Courts and jurisdictional forums at or having authority over Mahesana, Gujarat, India will apply to the extent arbitration is not used or where court supervision is required.
Changes To These Terms
We may revise these Terms from time to time. The updated version will be posted on this page with an updated effective date or last-updated date. Continued use of the service after a change becomes effective constitutes acceptance of the revised Terms, subject to applicable law.
